TERMS & CONDITIONS – NOAM JEWELS BV

These Terms & Conditions (“Terms”) govern all use of the Noam Jewels wholesale platform and all purchases made from Noam Jewels BV, a Belgian company registered at:

Rijfstraat 3, 2018 Antwerp Belgium

Company Number / VAT: BE 0457.590.669

Hereafter referred to as “Noam Jewels”, “We”, “Us”, or “Our.”

 These Terms apply exclusively to B2B transactions.

We do not sell to consumers.

 

By accessing our platform, creating an account, placing an order, or purchasing goods from Noam Jewels, the client (“Buyer”, “Retailer”, “Jeweler”, or “You”) agrees to be bound by these Terms.

1. B2B-ONLY POLICY

 1.1 Noam Jewels supplies jewelry and loose lab-grown diamonds solely to professional jewelers, retailers, wholesalers, and other verified businesses.

1.2 By registering an account, the Buyer confirms they are a business customer, registered with a valid company number and VAT number.

1.3 Consumer protection laws (e.g., right of withdrawal) do not apply to B2B purchases.

2. Platform Access & Accounts

 2.1 Access to the Noam Jewels platform is granted only after verification of the Buyer’s business information.

2.2 Noam Jewels reserves the right to approve, refuse, suspend, or terminate any account at its discretion.

2.3 The Buyer is responsible for:

  • Maintaining accurate business information
  • Keeping login credentials confidential
  • Ensuring only authorized employees use the account

 

2.4 All orders placed through the Buyer’s account are deemed authorized and legally binding.

3. Products & Materials

 3.1 Noam Jewels exclusively supplies:

  • Lab-grown diamonds (CVD or HPHT)
  • Real gold jewelry (14K, 18K, or other alloys as specified)

 3.2 Product specifications, dimensions, weights, and descriptions shown on the platform are indicative and may vary slightly due to manufacturing tolerances.

3.3 Loose stones may be purchased with or without setting services.

3.4 Certificates (e.g., IGI/GIA) may be available for larger stones on request.

4. Prices & Price Adjustments

 4.1 All prices on the platform are indicative until confirmed by Noam Jewels.

4.2 Prices are subject to fluctuations in:

  • Gold market price
  • Lab-grown diamond market
  • Currency rates
  • Production costs
  • Availability of materials

 4.3 Noam Jewels reserves the right to adjust prices at any time, including after an order is submitted.

4.4 The final binding price will be confirmed in the order confirmation issued by Noam Jewels.

4.5 All prices are shown exclusive of VAT, unless explicitly stated.

5. Ordering Process

 5.1 The Buyer may use the platform to:

  • View products and pricing
  • Add jewelry to an order
  • Add loose lab-grown diamonds
  • Choose to have stones set or delivered separately
  • Submit an order request

 5.2 Submission of an order constitutes a request, not a binding agreement.

5.3 Orders become legally binding only after the Buyer receives a formal Order Confirmation from Noam Jewels.

5.4 Noam Jewels may correct pricing errors, update lead times, or refuse orders at its discretion.

6. Lead Times & Production

 6.1 Lead times shown on the platform are estimates and may vary based on:

  • Production capacity
  • Availability of stones
  • Customizations
  • Market conditions
  • Holiday periods

 6.2 Noam Jewels is not liable for delays resulting from supply-chain issues, hallmarking delays, or unforeseen production challenges.

6.3 Custom pieces, engravings, special orders, and stone-setting services may require extended lead times.

7. Delivery & Shipping

 7.1 All shipments are sent via insured carriers selected by Noam Jewels unless the Buyer chooses their own courier account.

7.2 Risk transfers to the Buyer upon delivery to the carrier (EXW or FCA Incoterms unless stated otherwise).

7.3 Shipping costs, insurance, duties, and taxes are borne by the Buyer unless otherwise agreed.

7.4 Noam Jewels is not liable for delays caused by carriers, customs, or force majeure events.

8. Payment Terms

 8.1 Payment methods may include:

  • Bank transfer
  • Credit card
  • Pre-approved credit terms (e.g., Net 30/45/60)

 8.2 No orders will be shipped until payment is received unless credit terms were granted.

8.3 Late payments incur:

  • Statutory B2B interest under Belgian law
  • Administrative collection fees

 8.4 Noam Jewels may suspend further deliveries if invoices remain unpaid.

9. Returns, Cancellations & Modifications

 9.1 Cancellations are only possible if production has not yet begun.

9.2 Custom, engraved, or made-to-order items cannot be cancelled or returned unless defective.

9.3 Returns are accepted only for:

  • Manufacturing defects
  • Incorrect items supplied

 9.4 The Buyer must notify Noam Jewels within 48 hours of receiving defective goods.

9.5 Returned items must be unused and in original packaging.

9.6 No returns are accepted for:

  • Custom designs
  • Resized items
  • Items damaged after delivery
  • Client-side setting errors

10. Warranty

 10.1 Noam Jewels offers a 12-month manufacturing warranty.

10.2 Warranty does not cover:

  • Wear and tear
  • Accidental damage
  • Improper storage
  • Client-side setting mistakes
  • Alterations by third parties

 10.3 Noam Jewels may repair, replace, or credit the item at its discretion.

11. Intellectual Property

 11.1 All images, product designs, CAD files, descriptions, branding, and platform content are the intellectual property of Noam Jewels.

11.2 Buyers may use provided product images solely for the resale of Noam Jewels products.

11.3 Unauthorized reproduction, distribution, or use of Noam Jewels media or designs is strictly prohibited.

12. Liability

 12.1 Noam Jewels is not liable for:

  • Lost profits
  • Business interruption
  • Loss of clients
  • Incorrect resale information
  • Damage from improper handling or setting by the Buyer

 12.2 Maximum liability shall not exceed the invoice value of the item concerned.

12.3 Noam Jewels is not responsible for errors caused by incorrect information provided by the Buyer.

13. Force Majeure

 13.1 Noam Jewels is not liable for delays or non-performance due to events beyond its control, such as:

  • Natural disasters
  • Transport disruptions
  • Supplier failures
  • Power outages
  • Government restrictions
  • War or instability

 13.2 In such cases, delivery times may be extended or orders cancelled without liability.

14. Governing Law & Jurisdiction

 14.1 These Terms are governed by Belgian law.

14.2 Any disputes shall be handled exclusively by the courts of Antwerp, Belgium.

14.3 The Buyer agrees that all transactions and agreements occur in Belgium.

15. Amendments

 15.1 Noam Jewels may update these Terms at any time.

15.2 Continued use of the platform constitutes acceptance of updated Terms.

15.3 Buyers will be notified of material changes.
